These Terms & Conditions ("Terms") govern your use of the Alpha Monnaies website at alphamonnaies.io ("Website"). The Website is operated by VirtuVault Technologies EOOD, a company incorporated in Bulgaria (UIC 207524160) with its registered office at 49A Bulgaria Blvd, fl. 1, Triaditsa, Sofia 1404, Bulgaria, and operating offices in Switzerland and the United Arab Emirates (in these Terms, "Alpha Monnaies", "we", "us", "our"). By using the Website or submitting your email through the access-request form, you agree to these Terms. If you do not agree, please do not use the Website.

1. Scope & relationship to the client agreement

These Terms cover only your use of the Website — not the Alpha Monnaies payment-orchestration platform. A separate client agreement — covering account opening, customer onboarding, AML / CTF checks, KYC / KYB, payment instructions, fees, settlement, card issuance, dispute resolution, and the applicable regulated-services framework — is presented to and accepted by each client before any payment service is provided. That client agreement governs the service relationship and supersedes these Terms in respect of paid services. Alpha Monnaies provides technology and connectivity; regulated payment services are provided by Alpha Monnaies and/or its licensed banking and payment-institution partners as described in the client agreement.

2. Eligibility & sanctions

You may use the Website only if:

• you are at least 18 years old and able to form a binding contract;
• you are not a person, and you do not act for any person, with whom we are prohibited from dealing under applicable sanctions or export-control laws — including measures administered by the United Nations, the European Union, the Republic of Bulgaria, the United States OFAC, the United Kingdom OFSI, and the relevant authorities of Switzerland and the United Arab Emirates;
• your access to the Website is not prohibited by the laws of the place from which you access it.

3. Access requests & communications

If you submit your email through the access-request form, you authorise us to send you informational and transactional emails about: onboarding and eligibility; invitations to test or pilot programmes; product updates relevant to prospective clients; and changes to these Terms or the Privacy Policy. You may opt out at any time by replying "unsubscribe" to any email or writing to hello@alphamonnaies.io; opting out will not affect emails strictly required for security or legal-notice purposes.

Submitting your email does not create an account, a client relationship, or any commitment by us to provide services. Provision of services is conditional on completion of onboarding and acceptance under the client agreement then in force.

4. Acceptable use

You agree not to:

• use the Website in any way that breaches any applicable law or regulation, or infringes the rights of any third party;
• access, tamper with, or use non-public areas of the Website, our systems, or the technical delivery systems of our suppliers;
• probe, scan, or test the vulnerability of any system or network, except as expressly permitted under the responsible-disclosure policy at alphamonnaies.io/security.html;
• upload or transmit malicious code, viruses, or other harmful technology;
• scrape, harvest, or collect data from the Website at a volume or rate that imposes an unreasonable load on it;
• impersonate any person, misrepresent any affiliation, or use the Website to defraud any person;
• use the Website to test, signal, or facilitate any transaction that is illegal or that breaches any sanctions regime or our Sanctions & Forbidden Activities Policy.

5. Intellectual property

The Website and all content on it (including text, graphics, the Alpha Monnaies name and word-mark, the globe logo, code, and the orchestration diagram), other than user-supplied content, are owned by VirtuVault Technologies EOOD or licensed to us, and are protected by copyright, trade-mark, and other intellectual-property laws. You may view and use the Website to evaluate Alpha Monnaies. You may not copy, reproduce, modify, distribute, publicly display, or create derivative works of any material on the Website except (a) for personal, internal evaluation, or (b) with our prior written permission.

6. Disclaimer of warranties

The Website is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Alpha Monnaies disclaims all warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, and uninterrupted or error-free operation. Information on the Website is illustrative; the figures shown by the orchestration diagram are simulated for demonstration only and do not represent live transactions, balances, fees, or available services.

7. Limitation of liability

To the maximum extent permitted by applicable law, in no event shall Alpha Monnaies, its directors, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your use of, or inability to use, the Website, even if advised of the possibility of such damages.

Where liability cannot be excluded under applicable law, our total aggregate liability arising out of or in connection with your use of the Website is limited to one hundred euros (EUR 100). Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot be lawfully excluded.

8. Indemnity

You agree to indemnify and hold harmless Alpha Monnaies and its directors, officers, employees, and agents from and against any claim, demand, loss, liability, damage, or expense (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your misuse of the Website, or your violation of any law or third-party right.

9. Privacy

Our handling of your personal data is described in the Privacy Policy and Cookie Policy, which form part of these Terms.

10. Changes to these Terms

We may update these Terms from time to time. We will revise the "Last updated" date and, for material changes, give reasonable advance notice by email to subscribers. Continued use of the Website after the effective date of a change constitutes acceptance of the revised Terms. The current version is always at alphamonnaies.io/terms.html.

11. Termination

We may suspend or terminate your access to the Website at any time, with or without cause and with or without notice, including if we believe you have breached these Terms. Sections 5 (Intellectual property), 6 (Disclaimer), 7 (Limitation of liability), 8 (Indemnity), 12 (Governing law), and 13 (General) survive termination.

12. Governing law & jurisdiction

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of the Republic of Bulgaria, without regard to its conflict-of-laws rules and without prejudice to any mandatory consumer-protection rights you may have under the law of your country of residence. The courts of the city of Sofia, Bulgaria have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms or the Website, save that Alpha Monnaies may bring proceedings in any court of competent jurisdiction to protect its intellectual-property rights or to enforce a judgment.

13. General

• Entire agreement. These Terms (together with the Privacy Policy, Cookie Policy, and Security Policy) constitute the entire agreement between you and Alpha Monnaies in relation to the Website and supersede any prior understandings.
• No waiver. Our failure to enforce any right under these Terms is not a waiver of that right.
• Severability. If any provision is found unenforceable, the remaining provisions remain in full force and effect.
• Assignment. You may not assign or transfer your rights under these Terms. We may assign them to an affiliate or a successor in connection with a merger, acquisition, or sale of assets.
• Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
• Language. The English version of these Terms is the controlling version. Any translation is provided for convenience only.
